Terms of Service - Brandspire Global

1. Agreement to Terms These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Brandspire Global (“we,” “us,” or “our”), concerning your access to and use of the brandspireglobal.com website as well as any other media form related, linked, or otherwise connected thereto.

2. Our Services Brandspire Global provides two primary categories of services:

Digital Solutions: Including but not limited to Search Engine Optimization (SEO), Pay-Per-Click (PPC) Advertising, Website Design, and Social Media Marketing.
Agro-Export Solutions: The sourcing, processing, quality assurance, and FOB (Free on Board) export of premium Nigerian agricultural commodities.

3. Specific Terms for Digital Solutions

Proposals and Retainers: Digital services are governed by individual Proposals or Master Service Agreements (MSAs) detailing scope, deliverables, and monthly retainers.
Performance: While we utilize industry-best practices to generate leads and sales, we do not guarantee specific financial results or algorithmic rankings, as these are subject to third-party platforms.

4. Specific Terms for Agro-Export Solutions

Contracts: All commodity exports are governed by a specific Sales and Purchase Agreement (SPA).
Quality Assurance: We facilitate independent quality inspections (e.g., SGS) prior to loading. The results of these final inspections at the port of loading are binding.
Incoterms: Unless otherwise stated in the SPA, all commodity shipments are handled on an FOB (Lagos/Apapa) basis. The transfer of risk and responsibility occurs once the goods pass the ship’s rail at the named port of shipment.

5. User Representations By using our Services, you represent and warrant that all registration information you submit will be true, accurate, current, and complete, and that you have the legal capacity to enter into these Terms of Service.

6. Intellectual Property Rights Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) are owned or controlled by us or licensed to us.

7. Limitation of Liability In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our Services.

8. Governing Law and Dispute Resolution These Terms of Service and your use of the Site and Services are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Lagos, Nigeria.
